1. Localize-Translate.com shall endeavor to produce clear and accurate translations. However, the original text submitted for translation can at times be slightly subjective in what it conveys. While Localize-Translate.com's team of professional translators will do to their best to handle any and all such ambiguities, it must be noted that at times, such situations will arise.
2. If the client is dissatisfied with the first translation, the client shall communicate this to Localize-Translate.com in writing within 7 days upon receipt of the first translation. Failure to do so means that Localize-Translate.com is no longer obligated to entertain any complaints whatsoever concerning that particular translation job in the future. Upon receipt of any timely, written complaint, Localize-Translate.com shall carefully consider the reason for the client's dissatisfaction and shall make such amendments as Localize-Translate.com considers appropriate in its sole discretion.
3. The client shall be entitled to a maximum of 2 rounds of amendments. Both rounds of amendments shall take place within a month upon receipt of the first translation by the client. After a month upon receipt of the first translation, Localize-Translate.com shall not entertain any further complaint whatsoever or howsoever arising from that particular translation job.
4. The fees quoted provided by Localize-Translate.com for translation and localization do not include any incidental expenses, such as support services, which shall be charged separately at a rate of $50.00 USD per hour.
5. The client shall bear all incidental costs, including and without limitation to the generality of the aforesaid, collection costs, delivery costs, implementation costs, communication costs, etc...
6. Localize-Translate.com shall be under no liability or obligation to do any job, including, but without prejudice to the generality of the aforesaid, translation and localization, unless and until it has received payment by the client.
7. The client shall be entitled to cancel any job if and only if such cancellation is communicated in writing to Localize-Translate.com before the job is started. Upon receipt of any timely, written cancellation, Localize-Translate.com shall be entitled to charge an amount not exceeding half of the full charge. In the absence of such cancellation, Localize-Translate.com shall be entitled to its full charge once it has started its translation, regardless whether or not the translation has been completed. Where the translation has been started but not completed, the full charge (or balance thereof as the case may be) shall be treated as liquidated damages payable to Localize-Translate.com which are a genuine pre-estimate of Localize-Translate.com's loss.
8. The client warrants to Localize-Translate.com that all materials submitted for translation or reproduction do not infringe any copyright nor contain any illegal or obscene information. The client shall fully indemnify Localize-Translate.com against all losses and damages whatsoever howsoever arising, including, but without limitation to the generality of the aforesaid, any legal action by any party and any legal costs arising therefrom on an indemnity basis.
9. Client agrees that neither Localize-Translate.com or any of its employees, translators or providers shall be liable for any direct, indirect, incidental, special, consequential or exemplary damages resulting from the use or the inability to use Localize-Translate.com's services or for the cost of procurement of substitute goods and services.
10. In no event shall Localize-Translate.com's total liability to the client for damages, losses, and causes of action exceed the amount paid by the client to Localize-Translate.com, if any, that is related to the cause of action.
